FINRA's June 2026 AI Deadline Is Coming. Most Firms Are Not Ready.
FINRA's AI governance requirements take effect June 3, 2026. If you are a financial advisor, broker-dealer, or registered representative using AI tools in any part of your practice, you need a documented AI governance framework. Not a plan to build one. A framework that is operational.
Most firms are not ready. And the gap between "aware" and "implemented" is where the real risk lives.
What We Are Seeing on the Ground
We work with firms across financial services, from M&A advisory operations that transact through FINRA/SIPC member broker-dealers to EOS consultants whose clients include Morgan Stanley preferred providers. The conversations about AI governance are happening. The implementations are not.
Here is the pattern we see repeatedly: a firm leader knows AI regulation is coming. They attend a webinar. They download a whitepaper. They tell their compliance officer to "look into it." And then nothing changes operationally because nobody in the organization knows how to translate regulatory requirements into working systems.
This is not a knowledge problem. It is an implementation problem. And it is the same gap we see across every industry we work in. The distance between understanding what AI can do and actually having it running inside your business is measured in months, not minutes.
The Three Things FINRA Compliance Actually Requires
Strip away the legal language and the governance framework comes down to three operational requirements:
1. You need to know what AI tools your team is using.
This sounds obvious. It is not. We have worked with firms where the founder uses ChatGPT daily, the operations manager has a separate Claude subscription, the marketing person is using Gemini for content, and nobody has a central inventory. When we ask "what AI tools does your organization use?" the answer is usually "ChatGPT," which accounts for maybe 30% of actual usage.
An AI audit is not a compliance exercise. It is an operational necessity. You cannot govern what you cannot see.
2. You need documented policies for how AI outputs are reviewed before client-facing use.
Every AI tool generates outputs that could be wrong. In financial services, a wrong output in a client recommendation, a deal analysis, or a compliance document creates real liability. FINRA wants to see that your firm has a human review process documented and enforced.
We build these review checkpoints directly into the tools we deploy. When we built an NDA reviewer for an M&A advisory firm, the tool does not just flag deviations from standard terms. It generates a recommendation for each clause: accept, modify, or reject. But the final decision stays with the human advisor. The AI accelerates the analysis. The professional makes the call.
Same principle applies to LOI reviews, valuation analyses, and buyer prospect summaries. The AI does the heavy lifting on data processing and pattern matching. The licensed professional applies judgment and signs off.
3. You need a record of AI-assisted decisions.
This is where most firms will struggle. It is not enough to use AI responsibly. You need to be able to demonstrate that you used it responsibly. That means logging which tools were used, what inputs they received, what outputs they generated, and what human review occurred before the output was acted on.

Why Small Firms Have the Advantage
Large broker-dealers will handle FINRA compliance the way they handle everything: committees, consultants, 18-month implementation timelines, and enterprise software procurement cycles.
Small and mid-size firms can move faster. A 10-person M&A advisory shop can have a fully configured AI tools suite deployed in a weekend. We know because we did it. Six production tools, a seller scoring engine, and a daily email digest, all running on secure infrastructure with role-based access.
When the compliance officer asks "what AI governance framework do you have in place?" the answer is not a policy document sitting in a shared drive. It is a live system with documented inputs, human review checkpoints, and auditable outputs.
The firms that build their AI governance into their actual tools, rather than bolting a compliance layer on top of ungoverned usage, will be better positioned. Not just for FINRA, but for every regulatory body that follows.
The Broader Trend
FINRA is not an outlier. Healthcare has HIPAA considerations for AI (we have built HIPAA-compliant intake systems for clinical psychology practices). Legal has ethics opinions rolling out state by state about AI use in practice. Real estate has fair housing implications for AI-powered property analysis.
The pattern is the same everywhere: regulation follows adoption. AI adoption in professional services hit critical mass in 2025. The regulatory response is arriving in 2026.
Firms that treated AI as an experiment, something individual team members played with on their own subscriptions, are now facing a governance challenge they never anticipated. Firms that treated AI as infrastructure, with centralized tools, documented workflows, and human review processes, are already compliant in spirit and just need to formalize what they have been doing.
What to Do Right Now
If your firm uses AI in any client-facing capacity and you do not yet have a governance framework, here is the minimum viable path:
Week 1: Audit every AI tool in use across your organization. Not just the ones you pay for. Include free tools, browser extensions, and any tool that touches client data.
Week 2: Document your review process for AI outputs. Who reviews what, before it goes to a client or into a decision? Write it down. If you do not have a review process, build one.
Week 3: Implement logging. Every AI-assisted output that influences a client recommendation or business decision should produce an artifact that can be reviewed later.
Week 4: Deploy. Move from ad-hoc AI usage to purpose-built tools with governance baked in. This is where most firms stall because they do not have the technical capability to build custom tools. That is exactly the gap we fill.
The Implementation Gap Is the Real Risk
The risk is not that AI will make a mistake. AI will make mistakes. That is a given. The risk is that when AI makes a mistake in your firm, you cannot demonstrate that you had reasonable governance in place.
